DX-CAD End User Licence Agreement
Copyright 2026 Designmatix Ltd. All rights reserved.
This agreement is between you and Designmatix Ltd, a company registered in England and Wales under company number 12697280, whose registered office is at 71-75 Shelton Street, London WC2H 9JQ, United Kingdom ("we", "us", "our"), and covers DX-CAD, the software it comes with and its documentation (together, "the Software"). By installing or using the Software you accept it. If you do not accept it, do not install or use the Software.
1. What you may do
We give you a non-exclusive, non-transferable, worldwide licence to install and use the Software, free of charge under the launch offer or a trial, or under a paid licence, as set out below.
Launch offer. Until 23:59 UK time on 15 November 2026, you may use the Software free of charge on any number of computers, for any purpose, including commercial work. After that date, continued use requires a paid licence from us; anyone may try the Software free of charge for 30 days from first use. The 30 days count from the day you first start the Software. If they end after 15 November 2026, you may keep using the Software free of charge until they end. We may extend the launch offer; if we do, we will say so on our website and in the Software. Files you made with the Software remain yours, and you may always open, view and export them, even without a licence.
The parts and drawings you make with the Software are yours. This agreement claims nothing in them.
2. What you may not do
Except as this agreement or the law allows, you may not:
- copy the Software, other than to install and use it and to keep a backup;
- modify it, translate it or make works based on it;
- sell, rent, lend, sublicense or otherwise distribute it;
- decompile, disassemble or reverse engineer it;
- remove or change any notice of copyright or licence in it.
3. Rights the law gives you
1. Mandatory rights come first. Nothing in this agreement limits any right you have under the law that applies to you which cannot be excluded or restricted by contract ("mandatory rights"). If any term of this agreement conflicts with a mandatory right, the mandatory right prevails, but only to the extent needed, and the rest of this agreement stays in force.
2. Interoperability (decompiling). Where the law that applies to you permits it, you may reproduce and translate the code of the Software ("decompile" it) when that is indispensable to obtain the information needed to make an independently created program work with the Software, provided that:
(a) you are licensed to use the Software under this agreement;
(b) the information is not already readily available to you, including in the DX-CAD SDK, its documentation and the published DX-CAD file format specification at https://dxcad.designmatix.co.uk/sdk/; and
(c) you decompile only the parts of the Software needed for that purpose.
The information you obtain this way may not be used for any other purpose, may not be given to others except where that is necessary for the interoperability of the independently created program, and may not be used to develop, produce or market a program substantially similar in its expression to the Software, or for any other act that infringes our copyright. We ask that you contact us at support@designmatix.co.uk before decompiling: we may be able to provide the information you need. This request is not a condition of your rights.
3. Observing, studying and testing. While doing anything this agreement allows (loading, displaying, running, transmitting or storing the Software), you may observe, study and test how the Software works in order to understand the ideas and principles behind any part of it.
4. Back-up copies and correcting errors. Where the law that applies to you permits it, you may make a back-up copy of the Software that is necessary for your lawful use of it, and may copy or adapt the Software where that is necessary for its lawful use, including to correct errors.
5. Where these rights come from. These rights exist in many countries. Examples include, in the United Kingdom, sections 50A, 50B, 50BA and 296A of the Copyright, Designs and Patents Act 1988; in the European Union, the national laws implementing Articles 5 and 6 of Directive 2009/24/EC on the legal protection of computer programs; and in the United States, the doctrine of fair use, section 117 of title 17 of the United States Code and the interoperability provision in section 1201(f) of that title. Other countries have similar provisions. This clause does not grant any right beyond what the law that applies to you allows.
6. Consumer rights. If you are a consumer, this agreement does not affect your statutory rights, including, in the United Kingdom, those under the Consumer Rights Act 2015, or the equivalent consumer protections in your country.
7. Open-source components. The Software includes open-source components listed in the third-party notices (Help > Licences). Your rights under their licences, including your right under the GNU Lesser General Public License to modify and replace those libraries and to reverse engineer as needed to debug such modifications, are not restricted by this agreement.
8. Otherwise. Except as set out in this clause or as the law that applies to you permits, you may not decompile, disassemble or reverse engineer the Software.
4. Third-party software
The Software runs on, and its builds carry, third-party libraries under their own licences, listed with their full texts in THIRD-PARTY-NOTICES.md, which the Software shows under Help > Licences. Those licences govern those libraries, and nothing in this agreement limits what they let you do. In particular, OpenCASCADE (under the GNU Lesser General Public License 2.1 with the Open CASCADE exception) and Qt with PySide6 (under the GNU Lesser General Public License 3) ship as separate, replaceable files. You may modify those libraries, replace them in your copy of the Software with your own build of them, and reverse engineer the Software as far as is needed to debug such modifications. THIRD-PARTY-NOTICES.md says where their source is available. The DX-CAD SDK is a separate work under the Apache License 2.0, given in its own LICENSE file. This agreement does not cover it.
5. Add-ons
Fabrication and Drafting Pro, our add-ons for the Software, are covered by this agreement. Under the launch offer they are free of charge until 23:59 UK time on 15 November 2026, on the same terms as the Software. After that date each needs its own paid licence. Other add-ons may come with their own terms, which we will show you before you install them.
6. No warranty
The Software is provided "as is", without warranty of any kind, express or implied, including the warranties of satisfactory quality, fitness for a particular purpose and non-infringement. You are responsible for checking that any part, drawing or file made with it is fit for its use.
7. Limit of liability
To the extent the law allows, we are not liable for any loss of profit, revenue, data or business, or for any indirect or consequential loss, arising from the Software or its use, and our total liability under this agreement is limited to the amount you paid for the Software. Nothing in this agreement limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
8. Ending this agreement
This agreement lasts until it ends. It ends at once if you break it; you must then stop using the Software and delete your copies. Sections 6 to 9 survive its end.
9. Law
This agreement is governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute about it.
